Upon the submission of information to the HazedandConfused Web Site (herein referred to as “the Website”) the person or entity that submits information (herein referred to as “the User”) is deemed to have agreed to these Terms of Use. The User agrees and understands that the Website reserves the right to change the Terms and Conditions from time to time and at any time without actual notice to the User. The User agrees and understands that it is the User’s responsibility to review the most up to date Terms of Use prior to a new submission of information to the Website and that the User shall be deemed to have agreed to the most up to date Terms of Use posted on the Website at the date and time of their use.

Copyright Information & Intellectual Property Rights

The User understands that all submissions made to the Website shall become sole property of the Website upon submission and are copyrighted by the Website. No part of this site, or any of the content contained herein, may be used or reproduced in any manner whatsoever without the expressed permission of the Website.

The User understands and agrees that the Website does not guarantee that any submissions made to the Website will be posted on the Website or will appear on the Website. The User understands that if a submission is posted or appears on the Website the Website makes no representations as to how long the submission will remain on the Website and the submission can be removed at any time.

The Website understands that the User makes no guarantee as to the truthfulness of the submissions. The User understands that the Website will not review all submissions made to the Website. Any and all submissions may be purged from the Website at the Website’s sole discretion.

User Conduct

The User agrees to not use the Website to:

Future Disclosure of Content by the Website

User agrees that the laws of the State of New York, excluding its conflict-of-law rules, shall govern these Terms and Conditions. Please note that your use of the Website may be subject to other local, state, national and international laws. Visitor expressly agrees that exclusive jurisdiction for any claim or dispute with the Website or relating in any way to your use of the Website resides in the courts of the State of New York, and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of the State of New York, in connection with any such dispute and including any claim involving the Website or its affiliates, subsidiaries, employees, contractors, officers, directors, telecommunication providers and content providers.

Provisions Unenforceable or Invalid & Partial Invalidity

The invalidity or unenforceability of any term or provision or any clause of this Agreement in no way impairs or affects the validity or enforceability of any other provision of this Agreement, which will remain in full force and effect.

Assignment

User shall not transfer, assign, sublicense nor pledge in any manner whatsoever, any of your rights or obligations under this Agreement. The Website may transfer, assign sublicense or pledge in any manner whatsoever, any of its rights and obligations under this agreement to a subsidiary, affiliate, or successor thereof or to any third party whatsoever, without notifying the User or receiving the User’s consent.
